Terms of Service
These Terms of Service govern your access to and use of Minute Book Cloud ("we", "us", or "our"). By using the service, you agree to these terms.
1. Use of Service
You may use the service only for lawful corporate record management and related administrative purposes. You are responsible for complying with applicable corporate, securities, tax, and recordkeeping laws in the jurisdictions relevant to your organization.
- You are responsible for the accuracy and completeness of information you upload or generate in the platform.
- You are responsible for maintaining the confidentiality of account credentials and access controls.
- You are responsible for ensuring your use of the service complies with applicable law and your internal policies.
2. Subscription & Billing
Paid subscriptions are billed according to the plan and billing cycle selected at purchase and as described on the applicable pricing page at the time of subscription.
Subscriptions renew automatically unless canceled before the renewal date, subject to the billing terms provided at checkout.
3. Intellectual Property
Minute Book Cloud and its licensors retain all rights, title, and interest in the platform software, interfaces, branding, and related intellectual property.
You retain ownership of your uploaded corporate records, documents, and other content you provide through the platform.
4. Availability
We aim to provide reliable service availability, but the platform is provided on a best-effort basis. We do not guarantee uninterrupted or error-free operation at all times.
Access may be interrupted for maintenance, updates, security events, third-party outages, or circumstances outside our reasonable control.
5. Limitation of Liability
Minute Book Cloud is a corporate record management platform and does not provide legal advice. You should consult qualified legal or professional advisors where required.
To the maximum extent permitted by law, Minute Book Cloud will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or related to use of the service.
To the maximum extent permitted by law, Minute Book Cloud's total liability for claims arising out of or relating to the service will be limited to amounts paid by you for the service during the applicable period giving rise to the claim.
6. Termination
We may suspend or terminate access to the service if you violate these terms, misuse the platform, or create security or legal risk.
You may stop using the service and cancel subscriptions in accordance with your billing terms.
7. Governing Law
These Terms of Service are governed by the laws of Ontario, Canada, without regard to conflict of law principles, except where mandatory local law applies.
